1. Acceptance of Terms
Welcome to Viaza. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you" or "user") and Viaza, Inc., a Delaware C-corporation ("Viaza," "we," "our," or "us"), governing your access to and use of the Viaza mobile application, website, and all related services (collectively, the "Services").
By creating an account, downloading the app, or using any part of the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, you must immediately stop using the Services and delete your account.
2. Eligibility
2.1 Age Requirement
You must be at least 18 years of age to create an account and use the Services. By using Viaza, you represent and warrant that you are 18 or older.
If you are booking travel on behalf of minor travelers (under 18), you represent that you are the parent or legal guardian of each minor traveler and that you have full authority to provide their personal information and agree to these Terms on their behalf.
2.2 Legal Capacity
You represent that you have the legal capacity to enter into a binding contract under the laws of your jurisdiction. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
2.3 Compliance with Laws
You agree to use the Services only in compliance with all applicable local, state, national, and international laws and regulations, including all travel and immigration laws applicable to your planned trips.
3. Account Registration
3.1 Creating an Account
To access most features of Viaza, you must register for an account. You may register using:
- An email address and password
- Your Google account (via Google Sign-In)
- Your Apple ID (via Apple Sign-In)
3.2 Accurate Information
You agree to provide accurate, current, and complete information during registration and to keep your account information updated. Providing false, misleading, or inaccurate information is grounds for immediate account suspension or termination.
3.3 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Immediately notifying us at team@viazaai.com if you suspect unauthorized access to your account
We are not liable for any loss or damage arising from your failure to maintain account security.
3.4 One Account Per User
You may only maintain one personal account. Creating multiple accounts to circumvent restrictions or bans is prohibited.
3.5 Account Transfers
Your account is personal to you and may not be transferred, sold, or assigned to any other person or entity.
4. Description of Services
Viaza provides an AI-powered travel planning and booking platform that includes:
- AI Trip Planning: Generating personalized travel itineraries based on your preferences, budget, and travel dates using artificial intelligence
- Flight Search and Booking: Searching for and booking flights through our travel booking partners (Duffel and Amadeus)
- Hotel and Accommodation Search and Booking: Searching for and booking accommodations through our booking partners
- Restaurant Discovery: Discovering restaurants and dining options powered by Yelp and Google Places
- Itinerary Management: Creating, editing, and managing your travel itineraries
- Memories: Uploading and organizing photos and memories from your trips
- Social Features: Connecting with friends, sharing trip plans, and collaborating on group trips
- Notifications: Receiving booking confirmations and trip updates via push notification, email, and SMS
The Services are provided for personal, non-commercial use unless otherwise expressly agreed in writing with Viaza.
We reserve the right to modify, suspend, or discontinue any feature or aspect of the Services at any time with reasonable notice where practicable.
5. AI-Generated Content
5.1 Nature of AI Recommendations
Viaza uses artificial intelligence (OpenAI's API) to generate travel itineraries, restaurant recommendations, and activity suggestions. You acknowledge and agree that:
- AI-generated itineraries and recommendations are suggestions only and do not constitute professional travel advice
- AI-generated content may contain errors, inaccuracies, or outdated information
- Restaurants, attractions, or activities suggested may be closed, unavailable, fully booked, or no longer in operation
- Prices, hours of operation, and availability shown in AI suggestions may not reflect real-time conditions
5.2 Your Responsibility to Verify
You are solely responsible for independently verifying all AI-generated recommendations before making any travel decisions, bookings, or expenditures based on them. We strongly encourage you to:
- Confirm restaurant reservations directly with the establishment
- Verify attraction hours and availability before visiting
- Check entry requirements, visas, and travel advisories for your destination
5.3 No Guarantee of Results
We do not guarantee that any AI-generated itinerary will meet your expectations, preferences, or requirements. The quality and accuracy of AI suggestions may vary based on the information you provide.
5.4 Your Input
By submitting trip parameters, preferences, dietary restrictions, accessibility needs, and other information to generate an AI itinerary, you grant us the right to process that information through our AI systems. You represent that any information you submit is accurate and that you have the right to share it.
6. Travel Bookings
6.1 Flight Bookings
6.1.1 Booking Process
When you book a flight through Viaza, we act as a booking intermediary. Your flight booking is fulfilled through our travel technology partners — primarily Duffel and in some legacy cases Amadeus — who in turn create the booking directly with the airline. The airline's own terms and conditions of carriage apply to your flight.
6.1.2 Traveler Information Accuracy
You are solely responsible for ensuring that all traveler information you provide is complete, accurate, and exactly matches the government-issued identification that travelers will use at check-in. This includes:
- First and last name (as it appears on ID/travel documents)
- Date of birth
- Gender
- Contact details (email, phone)
Errors in traveler information may result in denied boarding, and we accept no liability for costs arising from inaccurate traveler details you provide.
6.1.3 Airline Terms
Your flight booking is subject to the terms and conditions, fare rules, and policies of the specific airline. These include but are not limited to:
- Baggage allowances and fees
- Check-in deadlines
- Boarding requirements
- Liability limitations under the Montreal Convention or applicable law
6.1.4 Price Changes
Flight prices are dynamic and subject to change until your booking is confirmed and payment is processed. We will notify you of any price changes before you complete payment.
6.1.5 PNR and Booking Reference
Upon successful booking, you will receive a booking reference (PNR) via email and, if enabled, SMS. You are responsible for retaining this reference for check-in and any future changes.
6.2 Hotel and Accommodation Bookings
6.2.1 Booking Process
Hotel bookings made through Viaza are fulfilled through Duffel Stays, which works with hotel suppliers and property management systems. The hotel or accommodation provider's own terms and cancellation policies apply.
6.2.2 Property Information
We do our best to display accurate property information, but we cannot guarantee that property descriptions, photos, or amenity listings are complete or current. We recommend confirming details directly with the property before your stay.
6.2.3 Check-In Requirements
You are responsible for understanding and complying with the hotel's check-in and check-out requirements, including any deposits or identification requirements at check-in.
6.3 Booking Accuracy and Confirmation
A booking is only confirmed once you receive a written confirmation from Viaza (via email) containing a booking reference or PNR. Until you receive confirmation, your booking is not complete.
If you do not receive a confirmation within 24 hours of completing payment, contact us at team@viazaai.com.
7. Payments and Fees
7.1 Payment Processing
All payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you authorize Stripe to charge the total amount due, including the booking price and any applicable service fees.
Viaza does not store your credit card number, expiration date, or CVV. All payment card data is handled exclusively by Stripe in a PCI-DSS Level 1 compliant environment.
7.2 Pricing
All prices displayed in the app are in the currency shown at the time of booking. Prices include the base fare or room rate and any applicable taxes and fees disclosed at checkout. Additional charges (e.g., baggage fees, hotel incidentals) are charged directly by the airline or hotel and are not collected by Viaza.
7.3 Service Fees
Viaza may charge a service fee for processing bookings. Any service fee will be clearly disclosed before you confirm payment.
7.4 Payment Authorization
By completing a booking, you authorize us to charge your payment method for the full amount shown at checkout. If payment fails, your booking will not be confirmed.
7.5 Pricing Errors
If a booking is made at an incorrect price due to a technical error, we reserve the right to cancel the booking and issue a full refund. We will notify you promptly if this occurs.
7.6 Currency
Prices are displayed in the currency selected in your profile or at checkout. Exchange rates, if applicable, are determined at the time of transaction and are not controlled by Viaza.
8. Cancellations, Changes, and Refunds
8.1 Airline Cancellations and Changes
Flight cancellations and changes are governed by the fare rules of the specific ticket purchased and the airline's policies. Many fare types are non-refundable and non-changeable. You are responsible for reviewing fare rules before completing your booking.
To request a cancellation or change to a flight booking, contact us at team@viazaai.com. We will submit the request to the relevant airline on your behalf, subject to their policies. We cannot guarantee approval of any cancellation or change.
8.2 Hotel Cancellations and Changes
Hotel cancellation policies vary by property and rate type and are disclosed at the time of booking. Some rates are fully refundable; others are non-refundable. You are responsible for reviewing the cancellation policy before completing your booking.
8.3 Refunds
Refunds, where applicable, will be:
- Returned to the original payment method used at the time of booking
- Processed within 5–10 business days after approval, though the timing depends on your card issuer
- Subject to any cancellation fees imposed by the airline or hotel
Viaza service fees are non-refundable unless the cancellation is due to an error on our part.
8.4 Viaza-Initiated Cancellations
In the rare event that Viaza or a booking partner is unable to fulfill your booking after payment, we will notify you promptly and issue a full refund of all amounts paid to Viaza.
8.5 Travel Disruptions
Viaza is not responsible for cancellations, delays, or changes caused by airlines, hotels, or other travel suppliers, or by circumstances beyond our control, including weather events, government actions, or force majeure events. We recommend purchasing comprehensive travel insurance.
9. User Content
9.1 Content You Submit
Viaza allows you to submit, upload, and share content including:
- Profile information (name, bio, photo, travel preferences)
- Trip details and itineraries
- Travel memories (photos, videos, captions)
- Comments, feedback, and trip notes
- Messages or invitations to friends and group trip members
All of the above is referred to as "User Content."
9.2 License to Viaza
By submitting User Content, you grant Viaza a non-exclusive, worldwide, royalty-free, sublicensable license to use, store, display, reproduce, and distribute that content solely for the purpose of operating and improving the Services. We do not claim ownership of your User Content.
9.3 Your Representations
By submitting User Content, you represent and warrant that:
- You own or have the necessary rights to submit the content
- The content does not infringe any third party's intellectual property, privacy, or other rights
- The content complies with these Terms and applicable law
- You have obtained consent from any identifiable individuals appearing in photos or videos you upload
9.4 Prohibited Content
You may not submit User Content that:
- Is defamatory, obscene, hateful, threatening, or harassing
- Infringes any copyright, trademark, or other intellectual property right
- Contains personally identifiable information of others without their consent
- Promotes illegal activity
- Contains malware, viruses, or harmful code
- Is false, misleading, or deceptive
9.5 Content Removal
We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is harmful, offensive, or otherwise objectionable. We are not obligated to monitor all User Content but may do so.
9.6 Retention
Upon account deletion, your User Content will be removed from public-facing areas of the Services. Certain records may be retained as described in our Privacy Policy.
10. Social Features and Group Trips
10.1 Friends
Viaza allows you to connect with other users as friends. By sending or accepting a friend request, you agree to share your public profile information with that user. You may remove a friend at any time.
10.2 Group Trips
You may create group trips and invite other Viaza users or non-users (via email or phone number) to collaborate on a shared itinerary. By creating a group trip, you acknowledge that:
- All invited members will be able to view the trip details you create
- Members with editor permissions may modify the itinerary
- You, as the trip creator, are responsible for managing membership and permissions
10.3 Invitations
When you invite someone to a group trip using their email address or phone number, you represent that:
- You have a pre-existing relationship with that person
- You have their implicit consent to be contacted via the platform
- You will not use the invitation feature to send unsolicited messages
10.4 Conduct in Social Features
You are responsible for your interactions with other users. Viaza is not responsible for user conduct within the platform. If you experience harassment or inappropriate behavior, please report it to team@viazaai.com.
11. Prohibited Conduct
You agree not to use the Services to:
- Violate any law — including travel regulations, export controls, anti-money laundering laws, or consumer protection laws
- Impersonate others — including other users, Viaza employees, or any other person or entity
- Engage in fraud — including providing false traveler details, using stolen payment information, or making fraudulent booking requests
- Scrape or harvest data — using automated tools to extract data from the Services without our express written consent
- Interfere with the Services — including attempting to gain unauthorized access, introducing malware, or disrupting our servers or networks
- Circumvent security — attempting to bypass authentication, rate limiting, or other security measures
- Resell or commercialize — using the Services to resell travel products or operate a competing service without authorization
- Spam or abuse communications — using the invitation or messaging features to send unsolicited commercial messages
- Exploit minors — submitting content involving the exploitation or abuse of minors
- Violate intellectual property — uploading content that infringes the copyrights, trademarks, or other rights of any third party
Violations may result in immediate account suspension or termination and may be reported to law enforcement.
12. Intellectual Property
12.1 Viaza's Rights
All content, features, and functionality of the Services — including the app design, graphics, logos, user interface, software code, AI models, and text — are owned by or licensed to Viaza and are protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from any Viaza content without our express written permission.
12.2 Trademarks
"Viaza," the Viaza logo, and all related marks are trademarks of Viaza, Inc. You may not use our trademarks without our prior written consent.
12.3 Feedback
If you provide us with feedback, suggestions, or ideas about the Services ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use that Feedback for any purpose without any obligation to you. We are not required to implement any Feedback.
12.4 DMCA / Copyright Complaints
If you believe that content on Viaza infringes your copyright, please send a notice to team@viazaai.com with the subject line "Copyright Claim" and include:
- A description of the copyrighted work
- The URL or location of the infringing content
- Your contact information
- A statement of good faith belief that the use is not authorized
- A statement under penalty of perjury that you are the copyright owner or authorized to act on their behalf
13. Third-Party Services
13.1 Integration with Third Parties
The Services integrate with third-party providers to deliver core functionality, including but not limited to: Duffel (flight and hotel booking), Stripe (payments), OpenAI (AI itinerary generation), Yelp (restaurant discovery), Google (maps and places), Twilio (SMS), Resend (email), and Expo (push notifications).
13.2 Third-Party Terms
Your use of third-party services accessed through Viaza is subject to those parties' own terms and conditions and privacy policies. Viaza is not a party to your agreements with third-party providers, including airlines and hotels.
13.3 Third-Party Links
The Services may contain links to third-party websites or resources. These links are provided for convenience only. We do not control and are not responsible for the content, privacy practices, or availability of any third-party sites.
13.4 No Endorsement
The inclusion of any third-party service, restaurant, airline, hotel, or activity in our platform does not constitute an endorsement or recommendation by Viaza.
14. Disclaimers and Warranties
14.1 As-Is Basis
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, VIAZA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Services will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy or completeness of any content, including AI-generated itineraries
14.2 Travel Disclaimer
Viaza is a technology platform, not a licensed travel agent. We do not independently verify the accuracy of flight schedules, hotel listings, restaurant information, or activity availability. Travel conditions, prices, and availability change frequently and without notice.
You are solely responsible for:
- Ensuring you have valid travel documents (passport, visas, permits) for your destination
- Checking travel advisories issued by your government
- Obtaining appropriate travel insurance
- Verifying entry requirements, health requirements, and local regulations at your destination
14.3 AI Content Disclaimer
AI-generated itineraries and suggestions are provided for informational and planning purposes only. They should not be relied upon as professional travel, legal, medical, or financial advice.
14.4 Availability
We do not guarantee that the Services will be available at all times. We may experience downtime due to maintenance, technical issues, or circumstances beyond our control.
15. Limitation of Liability
15.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIAZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, PARTNERS, OR AGENTS BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, goodwill, or business opportunities
- Damages arising from your reliance on AI-generated content
- Damages arising from travel disruptions, airline or hotel failures, or third-party service failures
- Damages arising from unauthorized access to your account
15.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIAZA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:
- (a) The total amount you paid to Viaza in the 12 months preceding the claim, or
- (b) USD $100
15.3 Essential Basis
The limitations in this Section reflect a fair allocation of risk and are an essential element of the basis of the bargain between you and Viaza. Viaza would not be able to provide the Services on an economically feasible basis without these limitations.
15.4 Exceptions
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability shall be limited to the fullest extent permitted by law.
16. Indemnification
You agree to defend, indemnify, and hold harmless Viaza, its officers, directors, employees, affiliates, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Services in violation of these Terms
- Your User Content
- Your violation of any applicable law or regulation
- Your violation of any third party's rights
- Inaccurate traveler information you provided for a booking
- Any dispute between you and another user or a travel supplier
17. Termination and Suspension
17.1 Termination by You
You may close your account at any time by using the "Delete Account" feature in the app or by contacting us at team@viazaai.com. Closing your account does not automatically cancel confirmed bookings.
17.2 Termination or Suspension by Viaza
We reserve the right to suspend or terminate your account at any time, with or without notice, if:
- You violate any provision of these Terms
- We suspect fraudulent, abusive, or illegal activity
- Required to do so by law or court order
- We discontinue the Services
17.3 Effect of Termination
Upon termination:
- Your right to access the Services ceases immediately
- Your User Content may be deleted (subject to our data retention obligations in the Privacy Policy)
- Outstanding bookings are not automatically cancelled — you remain responsible for any confirmed bookings and must contact us separately to address them
- Provisions that by their nature should survive termination (including Sections 12, 14, 15, 16, 18, and 19) will survive
18. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
To the extent that any dispute is not subject to arbitration under Section 19, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Philadelphia, Pennsylvania for the resolution of such disputes.
19. Dispute Resolution and Arbitration
19.1 Informal Resolution First
Before initiating any formal dispute, you agree to first contact us at team@viazaai.com and give us a reasonable opportunity (at least 30 days) to resolve the issue informally.
19.2 Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except as provided in Section 19.4.
The arbitration will be conducted in Philadelphia, Pennsylvania or, at your election, via videoconference.
19.3 Class Action Waiver
YOU AND VIAZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.
19.4 Exceptions
Notwithstanding Section 19.2, either party may seek relief in a court of competent jurisdiction for:
- Injunctive or other equitable relief to prevent unauthorized use or misappropriation of intellectual property
- Claims that can be brought in small claims court
19.5 Opt-Out
You may opt out of the arbitration agreement by notifying us in writing at team@viazaai.com within 30 days of first accepting these Terms. Your opt-out notice must include your name, email address, and a clear statement that you are opting out of arbitration.
20. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, business practices, or applicable law. When we make material changes, we will:
- Post the updated Terms with a new "Last Updated" date
- Notify you via in-app notification and/or email at least 30 days before the changes take effect
Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services and delete your account before the effective date.
21. Miscellaneous
21.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Viaza regarding the Services and supersede all prior agreements or understandings.
21.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
21.3 No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
21.4 Assignment
You may not assign or transfer any rights or obligations under these Terms without our prior written consent. Viaza may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets, with notice to you.
21.5 Force Majeure
Viaza will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, acts of government, pandemics, power failures, internet outages, or labor disputes.
21.6 No Agency
Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchisee relationship between you and Viaza.
21.7 Notices
All notices to Viaza under these Terms must be sent to team@viazaai.com or by mail to our registered address below. We may send notices to you at the email address associated with your account.
